The following terms of service (these "Terms") are an agreement between you ("you," "your"), the user ("User") on your behalf if you register as an individual, or in your capacity as a representative of the company for which you work or represent, if you register as a company; and Monark Markets, Inc. and its affiliates, as described in section 1 (“Monark Markets” “we,” “us,” or “our”), that sets forth the terms and conditions for your access and use of the https://monark-markets.com/ Website and Platform (collectively, the “Platform”).

The Platform is being provided to you expressly subject to these Terms. By accessing and using the Platform, you acknowledge that you have read, understand, and agree to be bound by these Terms (including all Monark Markets Policies applicable thereto) and to comply with all applicable laws and regulations. MMM ATS will charge a trade commission of 1%, which will apply to secondary market transactions based on the gross balance of each trade. Additional miscellaneous fees may apply depending on the service's use. Such fees may apply to banking charges required to facilitate the MMM ATS services. In the United States and any other jurisdiction not expressly mentioned above, Services are offered by Monark Markets, Inc. and its affiliate(s) MMM Securities LLC (“MMM Securities”), a Florida Limited Liability Corporation with a registered address at 30 Wall St, 8th Floor, New York, NY 10005. MMM Securities LLC is a broker-dealer registered with the U.S. Securities and Exchange Commission (“SEC”), a member of the Financial Industry Regulatory Authority (“FINRA”), and a member of the Securities Investor Protection Corporation (“SIPC”). It's important to note that Monark Markets, Inc. is not a registered broker-dealer. MMM Securities is the operator of MMM ATS (“MMM ATS”), an alternative trading system regulated by the SEC pursuant Regulation ATS.

Please carefully review these Terms before accessing the Platform. If you disagree with these Terms, you may not access, register, or otherwise use the Platform.

By using the Platform, you represent and warrant that you are 1) of legal age to form a binding contract with Monark Markets and at least 18 years old; 2) not prohibited by law from using the Platform; 3) are not located in a country subject to a U.S. Government embargo, or the U.S. Government has designated that as a “terrorist supporting” country; and 4) that you are not listed on any U.S. Government, U.K. Government, or European Union list of prohibited or restricted parties.

Monark Markets controls, operates, and administers the platform from its offices in the USA and Europe. If you access the Platform from outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the content accessed through the Platform in any country or any manner prohibited by applicable laws, restrictions, or regulations.

2.1 Modification of These Terms

We reserve the right to amend these Terms and the Policies applicable thereto at any time and will notify you of any such changes by posting the revised Terms on the Platform. You should check these Terms periodically for changes. The most current version of the Terms will supersede all previous versions. We will date the Terms with the last day of revision, and all changes shall be effective upon posting of such modified Terms. Your access or use of the Platform after any such changes to these Terms constitutes your agreement to be bound by any such changes. We may terminate, suspend, change, or restrict access to all or any part of this Platform without notice or liability except only to the extent prohibited by applicable law.

Your use of the Platform is subject to the Monark Markets’ Privacy Policy, the Gramm-Leach-Bliley Act (GLBA) Privacy Notice (collectively, the “Monark Markets Privacy Policy”), and the Cookie Policy (collectively, our “Policies”), detailing how we handle and protect your personal information.

The Policies inform Users of the data processing practices regarding the Platform.

We fully incorporate our Policies into these Terms. However, as described in section 2.1, we reserve the right to update our Policies in accordance with applicable law.

3.1 Modifications and/or Updates: Monark Markets has the right to change the Services and/or the Platform at any time without prior notice, whether due to changes in rule, law, regulation, policy, or otherwise. These Terms do not entitle you to any support, upgrades, updates, patches, enhancements, or fixes for the Platform or the Services. Monark Markets may occasionally provide updates to the Platform or the Services at its sole discretion, with no prior notice required. Any such updates shall become part of the Platform and/or the Services, as applicable, and subject to these Terms.

3.2 MMM Securities LLC: MMM Securities and MMM ATS provide investment services and permit accredited investors to invest in securities via Monark’s Platform (the “Services”). Specific securities listed on MMM ATS have not been registered under the U.S. Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. These securities listed on MMM ATS are not publicly traded, may be subject to resale restrictions, and are intended for investors who do not need a liquid investment. These investments are not bank deposits (and thus not insured by the FDIC or by any other governmental agency), are not guaranteed by MMM Securities or its affiliates, and may lose value. Investments in private placements, particularly start-up investments, are speculative and involve a high degree of risk. Investors must be able to afford the loss of their entire investment.

3.3 Some of the Services require Users to provide additional personal information or data, authorize or consent to interconnection with systems and/or services owned by third parties, and/or use identity verification mechanisms provided by third parties. In the event that you do not provide such consent and/or the necessary information and/or use the verification mechanisms, MMM Securities may not be able to provide such Services to you. Likewise, some Services may be limited by the conditions and/or policies of the third parties. Whenever the Services involve interconnection with systems and/or services owned or provided by third parties, and/or the terms and conditions and/or policies of such third parties may apply to the Services or you, Monark Markets will inform you.

3.4 Investments Within the Platform: By choosing to use the Platform, you will receive disclosures, notices, documents, and any other communication about our Platform from us (“Communications”). We can only give you the benefits of our Platform by conducting business through the Internet, and therefore, we need you to consent to receive communications electronically. This section informs you of your rights when receiving electronic Communications from us. We may discontinue electronic provision of Communications at any time at our sole discretion.

3.5 Communications in Writing: By entering into these Terms, you undertake the following:


  1. You will review and assess the terms of each investment, including all documents and information provided to you through the Platform or through the issuer information, meaning that you accepted it before making the investment.

  2. You will obtain professional advice as appropriate to protect your interests, when necessary, including legal, tax, accounting, and other advice.

  3. You reviewed and understand the risks of making investments through the Platform and the Services. Monark Markets does not recommend any financial product or investment opportunity, nor does Monark Markets state that any investment opportunities are suitable for investment or guarantee the accuracy of information provided by issuers, their managers, or otherwise. Monark Markets, Inc. does not act as an investment adviser to any investor and no part of the Monark Markets Platform is intended to constitute investment advice. Some investments offered in the Platform might be speculative and involve a high degree of risk, and investors who cannot afford to lose their entire investment should not invest. Prospective investors should carefully consider the risk warnings and disclosures for the respective investment offering. The value of an investment may go down as well as up, and investors may not get back the money initially invested. Past performance is not necessarily a guide to future performance. Investing in a fund or investment vehicle is not the same as a deposit with a banking institution. Please refer to the respective issuer documentation for details about potential risks, charges, and expenses. Additionally, investors will typically receive illiquid and/or restricted membership interests that may be subject to holding period requirements and/or liquidity concerns. Investments in alternative assets are highly illiquid, and investors should be fully aware of the risks of investing.


3.6 Appropriateness of Investments: Monark Markets may require Users to undergo an appropriateness assessment by completing a questionnaire on the Platform, pursuant to the applicable laws, to determine whether an investment in a certain financial instrument is appropriate or not for a given User. Monark Markets relies on representations made by Users when completing a questionnaire.

3.7 ATS Risk Disclosure: Certain securities offered on the MMM ATS have not been registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. Assets listed herein, are speculative, involve a high degree of risk, are generally illiquid, may have no value, have limited regulatory certainty, are subject to potential market manipulation risks, and may expose investors to loss of principal. Private placement investing involves a degree of risk that differs from traditional markets. These risks include, but are not limited to, regulatory uncertainty, market adoption, market manipulation, market exiting, price volatility, and security risk. Investments in private placements, start-up investments in particular, are also speculative and involve a high degree of risk. Investors must be able to afford the loss of their entire investment. MMM Securities determines eligibility to buy and sell securities on the MMM ATS in its sole discretion. Offers to sell, or the solicitations of offers to buy any security can only be made through official offering documents that contain important information about risks, fees, and expenses associated with the applicable securities available for trading on the MMM ATS. Investors should conduct their own due diligence and are encouraged to consult with a financial advisor, attorney, accountant, tax advisor, and any other professional to help them to understand and assess the risks associated with any investment opportunity. Past performance is not indicative of future results. There is no guarantee that a diversified portfolio will enhance overall returns, outperform a non-diversified portfolio, or prevent against loss.

3.8 Unauthorized Activity: In the event that the User identifies unauthorized activity in the Monark Markets Services, such as errors, failures in operations, and/or non-authorized operations, contact support@monark-markets.com.

3.9 Service Availability: Monark Markets does not guarantee the availability and continuity of the Platform and/or the Services or that the Platform is error-free. Where reasonably practicable, Monark Markets will first warn of interruptions in the operation of the Services, to the full extent permitted by the legal system, any liability for damages of any nature that may be due to the availability and continuity of access to the Monark Markets Platform. 3.10 Services Lockout or Denial of Operations: Monark Markets may suspend for investigative purposes or refuse to process any of the operations and/or activity within the Platform if we suspect fraudulent, illegal, or conduct that violates our Terms. If we refuse to process an operation and/or provide a Service, we will notify the User (unless prohibited by law) of the denial within the time period we are legally assigned to process that operation and, if applicable, the reasons for our refusal and the procedure for correcting factual errors that caused the denial. Any operation we refuse to process will be deemed unreceived for processing timelines and legal liability for non-compliance or incorrect compliance. Notwithstanding the foregoing, we may also suspend Services to a User and block their Services when (a) they have breached these Terms; (b) they provide or have provided information that is false, incomplete, inaccurate, or misleading or engages in fraudulent or illegal activity; (c) there are indications that Services security has been violated or the unauthorized or fraudulent use of the Services or information in connection therewith; (d) there are suspicions that the activity or use of the Services deviates from the applicable standard of use; (e) in the cases contemplated by the legislation applicable to these Terms and the Users. Monark Markets will inform the User of the suspension of the Services and the reasons for such suspension, where possible, before and at the latest thereafter, unless such information could jeopardize the security measures necessary to ensure and/or restore the security of the Services or unless prohibited by applicable law. The Monark Markets Services will be reactivated, repaired, or replaced, and/or its credentials restored, as appropriate, when the causes of the suspension have been lifted. In the event that the causes of the suspension cannot be rectified, Monark Markets reserves the right to terminate immediately after the notification to the User.

4.1 Communications to Be Provided in Electronic Form: By choosing to use the Platform, you will receive disclosures, notices, documents, and any other communication about our Platform from us (“Communications”), in accordance with our Policies. We can only give you the benefits of our Platform by conducting business through the Internet; therefore, we need to send you Communications electronically. This section informs you of your rights when receiving electronic Communications from us. We may discontinue the electronic provision of Communications at any time at our sole discretion.

4.2 Communications in Writing: Your consent to these Terms means that electronic Communications shall be considered “in writing” and have the same meaning as if provided in paper form, unless you have requested to receive Communications in paper or you withdraw your consent as stated below. You agree that we have no obligation to provide you Communications in paper format, although we reserve the right to do so at any time. Regarding fees and invoicing, you can always request paper copies of your invoices at support@monark-markets.com.

4.3 Minimum Requirements: You understand that, to view or retain copies of the electronic Communications, you need a computer or mobile device with an Internet connection and a commercially available browser, a valid email address, and sufficient storage space to save Communications or the capability to print the Communications from the device on which you view them.

4.4 Withdrawing Consent: You may withdraw your consent to receive non-mandatory Communications electronically as described in the footer of such Communications. If you withdraw your consent, the legal validity and enforceability of prior Communications delivered in electronic form will not be affected.

5.1 You agree to use the Platform only for lawful purposes. You are prohibited from any use of the Platform that would constitute a violation of any applicable law, regulation, rule, or ordinance of any nationality, state, or locality or any international law or treaty, or that could give rise to any civil or criminal liability. Any unauthorized use of the Platform is strictly prohibited.


You agree, at all times to the extent permitted by applicable law, you will not:


  • Try to reverse engineer, disassemble, decompile, or decipher the Platform or software or hardware comprising the Platform;

  • Navigate or search the Platform with any tool, software, agent, engine, or other means (including bots, avatars, intelligent agents, or spiders) other than as needed to interact with the Platform for the purposes set forth in these Terms;

  • Use the Platform in a way that could impair, overburden, damage or disable any portion of the Platform or other Monark Markets properties, or interfere with any other User or third-party use and enjoyment of the Platform;

  • Mirror any material contained on the Platform or claim any right to access, view, or alter any source code or object code of Monark Markets.

  • Obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Platform;

  • Remove, obscure, or change any copyright, trademark, logo, notices, instructions, warnings, labels, hyperlinks, or other proprietary rights notices contained in or on the Platform or Services or on any third-party website and/or software embedded on;

  • Remove, obscure, or change any notice, banner, advertisement, or other branding on the Platform or the Services;

  • Use any content, or other information acquired through your access to or use of the Monark Markets.

  • Use the Platform or Services, for commercial or investment activity outside of the Services, without prior written approval from Monark Markets. Monark Markets reserves the right to act against you if we believe you have engaged in activities restricted by these Terms or applicable laws or regulations. Monark Markets also reserves the right to take action to protect Monark Markets, other Platform Users, and other third parties from any liability, fees, fines, or penalties. Those actions may include limiting or altogether terminating your access to the Platform and Monark Markets taking legal action against you, and holding you liable for the amount of Monark Markets damages caused by your violation of these Terms.

The Linked Sites are not under the control of Monark Markets or its affiliates; Monark Markets is not responsible for the contents of any Linked Site, including any link contained in a Linked Site or any changes or updates to a Linked Site. Monark Markets is providing these links to you only for convenience, and the inclusion of any link does not imply endorsement by Monark Markets of the site or any association with its operators.

Certain services made available via the Platform may be delivered by third-party sites and organizations. By using any third-party product, service, or functionality originating from the https://monark-markets.com domain, you hereby acknowledge that such third-party policies and terms may be applicable to you and that we may disclose some data to them as described in our Monark Markets Privacy Policy.

Monark Markets has no control over, or liability for, the delivery, quality, safety, legality, or any other aspect of any goods or services you may purchase or sell to or from a third party (including other Users of Monark Markets Services). Monark Markets is not responsible for ensuring that a buyer or a seller you may transact with will complete the transaction or is authorized to do so. If you experience a problem with any purchases from, or sold to, any third party or have a dispute with such third party, you must resolve the dispute directly with that third party. If you believe a third party has behaved in a fraudulent, misleading, or inappropriate manner, or if you cannot adequately resolve a dispute with a third party, you may notify Monark Markets Support at support@monark-markets.com so that we may consider what action to take, if any.

The Platform is owned and operated by Monark Markets. All content, visual interfaces, information, graphics, design, compilation, computer code, products, software, services, text, data, contents, names, trade names, trademarks, trade dress, service marks, layout, logos, designs, images, graphics, illustrations, artwork, icons, photographs, displays, sound, music, video, animation, organization, assembly, arrangement, interfaces, databases, software, and/or technology, and all intellectual property of any kind whatever and the selection and arrangement thereof (collectively, the “Monark Markets Materials”) are owned exclusively by Monark Markets or the licensors or suppliers of Monark Markets and are protected by U.S. and EU copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Nothing on the Platform should be construed as granting, by implication, estoppel or any license or right to use any of the Monark Markets Materials displayed on the Platform without our prior written permission in each instance.

As a User, you are granted a non-exclusive, non-transferable, revocable license to access and use the Platform strictly in accordance with these Terms. As a condition of your use of the Platform, you warrant to Monark Markets that you will not use the Platform for any purpose that is unlawful or otherwise prohibited by these Terms. You agree that you do not acquire any ownership rights in any Monark Markets Materials. We do not grant you any licenses, express or implied, to the intellectual property of Monark Markets or our licensors except as expressly authorized by these Terms.

You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto. You may not use, copy, display, distribute, modify, or reproduce any of the Monark Markets materials found on the Platform unless in accordance with our written authorization. Monark Markets prohibits the use of any of the Monark Markets Materials as part of a link to or from the Platform unless we approve the establishment of such a link in advance in writing. All rights related to the Monark Markets Materials are hereby reserved.

You agree that the Monark Markets Materials may not be copied, reproduced, distributed, republished, displayed, posted, or transmitted in any form or by any means, including electronic, mechanical, photocopying, recording, or otherwise, without the express prior written consent of Monark Markets You acknowledge that the Monark Markets Materials are and shall remain the property of Monark Markets You may not modify, participate in the sale or transfer of, or create derivative works based on any Monark Markets Materials in whole or in part.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content and/or Monark Markets Materials, in whole or in part, found on the Platform. Force Majeure: Monark Markets shall not be liable for delays, failure in performance, or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, other catastrophe, or any other occurrence, including pandemics, which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Monark Markets from and against any and all claims, losses, expenses, demands, or liabilities, including reasonable attorneys’ fees arising out of or relating to (i) your violation of these Terms or of any applicable law or regulation; (ii) your violation of any third-party right, including any intellectual property right, publicity, confidentiality, property, or privacy right; (iii) any disputes or issues between you and any third party; and (iv) any other wrongful or negligent act or omission by you or on your behalf. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim. You shall cooperate as fully as reasonably required in the defense of any such claim and remain responsible for indemnifying us for any settlement or judgment. Monark Markets may terminate these Terms at any time without notice or suspend or terminate your Access and use of the Platform at any time, with or without cause, in MMM Securities’ absolute discretion and without notice. The following provisions of these Terms shall survive the termination of your use of or access to the Platform: the sections entitled Limitations of Use, Indemnification, Disclaimer of Warranties, Limitation of Liability, Waiver, Dispute Resolution by Binding Arbitration, and General Provisions, and any other provision that by its Terms survives the termination of your use of or access to the Platform.


Monark Markets further reserves the right to modify or discontinue, either temporarily or permanently, any portions or all of the Platform at any time with or without notice.

YOU HAVE READ THIS SECTION 11 (the “Arbitration Provision”) CAREFULLY AND UNDERSTAND THAT IT LIMITS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN YOU AND US. YOU UNDERSTAND THAT YOU HAVE THE RIGHT TO REJECT THIS PROVISION AS PROVIDED IN SECTION 11.1 BELOW.

11.1 Election to Arbitrate: You and Monark Markets agree that the sole and exclusive forum and remedy for resolution of a Claim shall be final and binding arbitration pursuant to this Arbitration Provision, unless you opt out as provided in Section 11.3 below. As used in this Arbitration Provision, “Claim” shall include any past, present, or future claim, dispute, or controversy involving you (or persons claiming through or connected with you), on the one hand, and any of the Monark Markets on the other hand, relating to or arising out of these Terms or your use of the Platform, including (except to the extent provided otherwise in the last sentence of Section 11.8 below) the validity or enforceability of this Arbitration Provision, any part thereof, or the entire Terms. Claims are subject to arbitration regardless of whether they arise from a contract, tort (intentional or otherwise), a constitution, statute, common law, principles of equity, or otherwise. Claims include matters arising as initial claims, counter-claims, cross-claims, third-party claims, or otherwise. The scope of this Arbitration Provision is to be given the broadest possible interpretation that is enforceable.

11.2 Applicability of the Federal Arbitration Act; Arbitrator’s Powers: This Arbitration Provision is made pursuant to a transaction involving interstate commerce and, if you are a citizen of or reside in the United States, shall be governed by and enforceable pursuant to FINRA rules administered by FINRA, when required, or under the Federal Arbitration Act (the “FAA”), conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator will apply substantive law consistent with the FAA and applicable statutes of limitations. The arbitrator may award damages or other types of relief permitted by applicable substantive law, subject to the limitations set forth in this Arbitration Provision. The arbitrator will not be bound by judicial rules of procedure and evidence that would apply in a court. The arbitrator shall take steps to reasonably protect confidential information.

11.3 Opt-Out of Arbitration Provision: You may opt-out of this Arbitration Provision for all purposes by sending an arbitration opt-out notice to support@monark-markets.com within thirty (30) days of the date of your electronic acceptance of these Terms. The opt-out notice must clearly state that you are rejecting arbitration, provide your name, address, and telephone number. You may send an opt-out notice in any manner you see fit as long as it is received at the specified address within the specified time. No other method can be used to opt-out of this Arbitration Provision. If the opt-out notice is sent on your behalf by a third party, such third party must include evidence of his or her authority to submit the opt-out notice on your behalf.

11.4 Exclusion for Residents of the European Economic Area or the United Kingdom: If you are a resident of the European Economic Area or the United Kingdom (collectively, the “EEA”), you may bring a Claim in a court with jurisdiction according to the laws of your country of residence, regardless of whether you have opted out of arbitration pursuant to Section 11.3. Alternatively, you may submit a dispute to the European Online Dispute Platform by visiting

11.5 Informal Dispute Resolution: If a Claim arises, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost-effective means of resolving the dispute quickly. You agree that before filing any Claim in arbitration or before a court with jurisdiction in accordance with section 11.4 above, you must seek informal resolution of the Claim by sending an email to suppport@monark-markets.com. In the event the Claim is not resolved to your reasonable satisfaction within ten (10) business days of your email, you may proceed to arbitration or to bring the Claim in court. We will do the same before commencing arbitration or, as we receive a court notice, email you at the email address you provided as part of your Services.

11.6 Arbitration Procedures: The party initiating arbitration shall do so with the American Arbitration Association (“AAA”) or Judicial Alternatives and Mediation Services (“JAMS”), unless FINRA rules, when a FINRA forum is required. The arbitration shall be conducted according to the rules and policies of the administrator selected, except to the extent the rules conflict with this Arbitration Provision or any countervailing law. If you have any questions concerning JAMS or would like to obtain a copy of the JAMS arbitration rules, you may call +1(800) 352-5267 or visit their website at www.jamsadr.com. In the case of a conflict between the rules and policies of the administrator and this Arbitration Provision, this Arbitration Provision shall control, subject to countervailing law, unless all parties to the arbitration consent to have the rules and policies of the administrator apply. The arbitration will be held through telephonic or video remote electronic means unless you or we request in-person proceedings, in which case the parties shall agree on, or in the absence of agreement the rules and policies of the administrator shall determine, the location.

11.7 Arbitration Fees: If we initiate arbitration, we shall pay all the administrator's filing costs and administrative fees (other than hearing fees). If you initiate arbitration, filing costs and administrative fees (other than hearing fees) shall be paid in accordance with the rules of the administrator selected, or in accordance with applicable law if contrary to the administrator's rules. We shall pay the administrator's hearing fees for one full day of arbitration hearings. Fees for hearings that exceed one day will be paid by the party requesting the hearing, unless the administrator's rules or applicable law require otherwise, or you request that we pay them and agree to do so. Each party shall bear the expense of its own attorneys’ fees, except that the arbitrator, in his or her discretion, may determine to award attorneys’ fees to the prevailing party if s/he determines that the Claim or the defense thereof was manifestly unjustified or unreasonable. If a statute gives you the right to recover any of these fees, these statutory rights shall apply in the arbitration notwithstanding anything to the contrary herein.

11.8 Appeals: Within thirty (30) days of a final award by the arbitrator, any party may appeal the award for reconsideration by a three-arbitrator panel selected according to the rules of the arbitrator administrator. In the event of such an appeal, any opposing party may cross-appeal within thirty (30) days after notice of the appeal. The panel will reconsider de novo all aspects of the initial award that are appealed. Costs and conduct of any appeal shall be borne by the party initiating the appeal unless it prevails in that appeal, in this case, they shall be addressed in the same way as with the initial arbitration proceeding. Any award by the individual arbitrator that is not appealed, and any panel award on appeal, shall be final and binding, except as may be required by applicable law (if you are a citizen of or reside in the United States, the FAA), and may be entered as a judgment in any court of competent jurisdiction.

11.9 No Class Actions: NO ARBITRATION SHALL PROCEED ON A CLASS, REPRESENTATIVE, COLLECTIVE, OR COORDINATED BASIS (INCLUDING AS A PRIVATE ATTORNEY GENERAL ON BEHALF OF OTHERS), EVEN IF THE CLAIM OR CLAIMS THAT ARE THE SUBJECT OF THE ARBITRATION HAD PREVIOUSLY BEEN ASSERTED (OR COULD HAVE BEEN ASSERTED) IN A COURT AS CLASS REPRESENTATIVE, OR COLLECTIVE ACTIONS IN A COURT. Without limiting the generality of the foregoing (and as an illustrative but not exhaustive example), an arbitration shall be presumed to be a collective or coordinated arbitration if (i) two (2) or more similar Claims are filed concurrently by or on behalf of one or more claimants and (ii) counsel for the claimants are the same, share fees, or otherwise coordinate across the arbitrations. “Concurrently” for purposes of this provision means that both arbitrations are pending (filed but not yet resolved) at the same time. Unless consented in writing by all parties to the arbitration, no party to the arbitration may join, consolidate, or otherwise bring Claims for or on behalf of two or more individuals or unrelated corporate entities in the same arbitration unless those persons are parties to a single transaction. Unless consented in writing by all parties to the arbitration, an award in arbitration shall determine the rights and obligations of the named parties only, and only with respect to the claims in arbitration, and shall not (a) determine the rights, obligations, or interests of anyone other than a named party, or resolve any Claim of anyone other than a named party; nor (b) make an award for the benefit of, or against, anyone other than a named party. No administrator or arbitrator shall have the power or authority to waive, modify, or fail to enforce this Section 11.9, and any attempt to do so, whether by rule, policy, arbitration decision, or otherwise, shall be invalid and unenforceable. Any challenge to the validity of this Section 11.9 shall be determined exclusively by a court and not by the administrator or any arbitrator.

11.10 Survival and Severability of Arbitration Provision: This Arbitration Provision shall survive the termination of these Terms. If any portion of this Arbitration Provision other than Section 11.9 is deemed invalid or unenforceable, the remaining portions of this Arbitration Provision shall nevertheless remain valid and in force. If there is a final judicial determination that applicable law precludes enforcement of this Arbitration Provision’s limitations as to a particular claim for relief or particular term, then that claim (and only that claim) or that term (and only that term) must be severed from the Arbitration Provision and, in the case of a severed claim, may be brought in court. If an arbitration is brought on a class, representative, coordinated, or collective basis, and the limitations on such proceedings in Section 11.9 are finally adjudicated pursuant to the last sentence of Section 11.9 to be unenforceable, then no arbitration shall be had. In no event shall any invalidation be deemed to authorize an arbitrator to determine Claims or make awards beyond those authorized in this Arbitration Provision.

11.11 Judicial Forum for Claims: Except as otherwise required by applicable law, in the event that this Arbitration Provision is found not to apply to you or your Claim, you and Monark Markets agree that any judicial proceeding (other than small claims actions) will be brought exclusively in the federal or state courts of New York, except for Claims brought by EEA residents, which are subject to Section 11.4. Both you and Monark Markets consent to the venue and personal jurisdiction there. We both agree to waive our right to a jury trial. Notwithstanding the remainder of this Arbitration Provision and the foregoing, you and we agree that either of us may bring a claim in a court of competent jurisdiction (which court shall include the federal or state courts of New York) for temporary injunctive or equitable relief to prevent, stop, or mitigate imminent or ongoing harm until an arbitrator can be empaneled in accordance with this Arbitration Provision and determine whether to continue, modify, or terminate such relief.

11.12 WAIVER OF RIGHT TO LITIGATE: THE PARTIES ACKNOWLEDGE THAT THEY HAVE A RIGHT TO LITIGATE CLAIMS THROUGH A COURT BEFORE A JUDGE OR JURY, BUT WILL NOT HAVE THAT RIGHT (OTHER THAN IN SMALL CLAIMS COURT OR TO SEEK TEMPORARY RELIEF AS ABOVE STATED) UNLESS YOU HAVE OPTED OUT OF ARBITRATION PURSUANT TO THIS ARBITRATION PROVISION OR A RESIDENT OF THE EEA, IN WHICH CASE YOUR RIGHT TO A JUDICIAL FORUM IS SET OUT IN SECTION 11.4. ASIDE FROM THOSE EXCEPTIONS, THE PARTIES HEREBY KNOWINGLY AND VOLUNTARILY WAIVE THEIR RIGHTS TO LITIGATE SUCH CLAIMS IN A COURT BEFORE A JUDGE OR JURY. The arbitration award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding, or arbitration arises out of or concerns these Terms, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees.

Use of the Platform and/or the Services is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

These Terms shall be governed by and construed, to the maximum extent permitted by law, under the laws of:

  • The State of New York and the Courts in New York City.

MMM Securities LLC’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of MMM Securities LLC’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Platform or information provided to or gathered by Monark Markets with respect to such use.

These Terms supersede any previous terms of service or other agreements to which you and Monark Markets may have been bound to the extent such previous terms of service or other agreements relating to the Platform. In the event of a conflict between one or more Policies and these Terms, the Terms shall prevail unless the Policy expressly states that it supersedes any section of these Terms, and applicable law does not prohibit the Policy from superseding such section.

These Terms will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms or any of our rights or obligations under these Terms at any time without notice. All rights not expressly granted herein are hereby reserved.

A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The words “includes” or “including” shall be construed to mean “includes” or “including” “without limitation.” Headings are for reference purposes only and in no way define, limit, construe, or describe the scope or extent of such section.
